Terms of Use

These Terms of Use (the Terms) govern your access to and use of the websites, applications, account services, live-audio services, and related features that Blipside, Inc. makes available and that link to these Terms (collectively, the Service). These Terms are a binding agreement between you and Blipside, Inc. (Blipside, we, us, or our).

1. Agreement to these Terms

When Blipside presents these Terms in an account-creation, migration, or review flow, you agree to them by selecting Agree and continue or another clearly labeled affirmative agreement action. If Blipside permits access to a portion of the Service without an account, your use of that portion is also subject to these Terms.

If you use Blipside Voices, including its account, scheduling, or Go Live features, the Blipside Voices Terms also apply. The Community Guidelines are incorporated into these Terms and describe content and conduct expectations. The Privacy Policy explains how Blipside handles personal information and is provided separately as a notice rather than as contractual consent.

If you do not agree to these Terms, do not create an account or use the Service.

2. Eligibility and availability

You must be at least 13 years old to create or use a Listener account. You must be at least 18 years old to create or use a Blipside Voices account, use Blipside Voices, schedule a session through that account, or go live. You must provide an accurate age-range declaration and may not use an account role for which you are ineligible.

Blipside is a general-audience service and is not directed to children under 13. If applicable law requires a higher minimum age, parental authorization, or another condition for your use of the Service, you may use the Service only if that condition is satisfied.

At launch, Blipside is offered and marketed for use in the United States. We may limit or change availability by location, device, operating system, account role, or other reasonable criteria. Internet access to a Blipside surface does not mean that every feature is offered or legally available in every jurisdiction.

3. Listener and Blipside Voices accounts

Listener accounts and Blipside Voices accounts are separate, even if they use the same email address. A login, policy acceptance, restriction, export, or deletion associated with one account role does not automatically apply to the other role unless Blipside expressly states otherwise or action is independently justified for that role.

You are responsible for understanding which account you are using. Your use of Blipside Voices is governed by the Blipside Voices Terms in addition to these Terms.

4. What Blipside provides

Blipside provides live audio around sports games and sports topics. A session may be attached to a game or to a topic. The underlying game, broadcast, video, audio, or play-by-play feed remains with the Listener's chosen provider. Blipside does not provide or rebroadcast the underlying game audio or video.

The Service may include account features, voice and session discovery, live and scheduled sessions, playback controls, adjustable listening delay, following, blocking, reporting, language preferences and filtering, session information, voice profiles, Car Mode, same-game voice switching, recaps, analytics, and related features.

Feature availability may vary. Blipside does not guarantee:

• that a voice or session will be available for a particular game or topic;
• automatic synchronization with an outside broadcast;
• spoiler prevention;
• uninterrupted, error-free, or delay-free playback;
• a buffer-free transition between voices;
• the accuracy or completeness of schedules, scores, clocks, analytics, or sports information;
• a particular audience, discovery placement, following, earnings, or business result; or
• compatibility with every device, network, or third-party service.

5. Accounts and security

You must provide accurate account information and keep it current. You are responsible for protecting your password, verification and recovery codes, authenticated devices, and account sessions. Do not share credentials or codes, allow another person to use your account in a way that compromises the Service, or access an account without permission.

Tell us promptly at support@blipside.app if you believe your account or credentials have been compromised. Blipside may use verification, recovery, session revocation, rate limits, and other safeguards to protect accounts and the Service.

You are responsible for activity conducted through your account to the extent permitted by applicable law. Blipside may require reauthentication or other verification before sensitive account actions.

6. Acceptable use

You may use the Service only for lawful purposes and in accordance with these Terms and the Community Guidelines.

You may not:

• violate law or another person's intellectual-property, privacy, publicity, contractual, confidentiality, or other rights;
• threaten, harass, exploit, defraud, impersonate, dox, stalk, or unlawfully discriminate against another person;
• distribute malware, phishing content, deceptive links, or credential-stealing material;
• interfere with the Service, another session, another user's account, or infrastructure;
• evade account restrictions, blocking, safety controls, rate limits, eligibility rules, or other safeguards;
• probe, scan, or test the Service or another user's data without authorization;
• scrape, crawl, copy, or automate access contrary to our published instructions or technical controls;
• manipulate follows, discovery, reports, analytics, or engagement;
• use reports to retaliate against a voice or to brigade content you merely dislike;
• use the Service to facilitate unlawful gambling, illegal goods, criminal conduct, or other unlawful activity; or
• use the Service for an emergency or as the sole basis for wagering, medical, legal, financial, or other high-stakes decisions.

7. User content and communications

You retain the rights you already have in content you submit to the Service. You grant Blipside a nonexclusive permission to receive, host, process, reproduce as technically necessary, transmit, display, secure, moderate, and otherwise handle that content solely as reasonably necessary to provide the feature through which you submitted it, comply with law, enforce our agreements, and protect people and the Service.

Content, as defined in the Blipside Voices Terms, and the additional license required for your use of Blipside Voices are governed by that agreement.

If you submit a report, support request, privacy request, or other communication, you authorize Blipside to use and share it internally and with service providers or authorities as reasonably necessary to review and respond to it, subject to the Privacy Policy and applicable law.

8. Feedback

If you voluntarily submit ideas, suggestions, or feedback about Blipside, you grant Blipside a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without obligation to you. This does not transfer ownership of an unrelated invention or material that is subject to a separate written confidentiality or development agreement.

Do not submit confidential information or ideas you expect Blipside to treat as proprietary through an ordinary feedback channel.

9. Blipside intellectual property and limited user license

Blipside and its licensors own the Service, software, interfaces, visual design, platform taxonomies, branding, documentation, system-generated records, and other materials made available by Blipside, excluding user-owned content.

Subject to these Terms and the applicable App Store terms, Blipside grants you a limited, personal, revocable, nonexclusive, nontransferable, and nonsublicensable right to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or attempt to derive source code from the Service except to the extent a restriction is prohibited by law or permitted by an applicable open-source license.

The iOS application is licensed, not sold. If you obtain it through Apple’s App Store, Apple’s standard Licensed Application End User License Agreement applies according to its terms unless Blipside provides a valid custom EULA.

10. Sports information, third-party marks, and non-affiliation

Scores, schedules, team and league names, event information, venues, and other sports information may be supplied by third parties or derived from public or licensed sources. That information may be delayed, incomplete, corrected, or unavailable.

Team names, league names, event names, broadcaster names, logos, and other marks belong to their respective owners. Blipside is independent and is not affiliated with, endorsed by, or sponsored by any sports league, team, broadcaster, platform, or brand unless Blipside expressly states otherwise.

A non-affiliation statement does not authorize you to use third-party marks or content unlawfully.

11. Reports, blocking, and enforcement

Where available, a Listener may report a voice or session and may block a voice. A report is a request for review; it is not proof of a violation and does not automatically remove a session or account. Blocking is a private Listener control that limits whether that Listener can see or access the blocked voice’s profile and sessions across supported parts of the Service; it is not a platform-wide finding or ban.

Blipside may review available context and may take no action, request information, warn a user, correct or remove metadata or content, limit visibility or features, end a live session, place an account on hold, suspend or terminate an account, preserve evidence, or restore access after review. We may act immediately when credible information indicates imminent harm, serious illegality, fraud, security risk, child-safety risk, or another urgent concern.

Enforcement is contextual and may consider severity, evidence, repetition, risk, prior conduct, and attempts to evade restrictions. Blipside does not promise to detect every violation, review every issue in real time, disclose confidential evidence, or reach a particular outcome. You may contact support@blipside.app if you believe an action was taken in error.

12. Service availability and changes

The Service may change, experience interruptions, or be discontinued in whole or in part. Blipside may add, remove, test, suspend, or modify features, accounts, interfaces, data sources, and availability. We may use maintenance windows, staged releases, safety modes, capacity limits, or emergency controls.

To the extent permitted by law, Blipside is not responsible for a failure or delay caused by events outside its reasonable control, including network failures, cloud or platform outages, third-party services, acts of government, natural events, labor disruptions, attacks, or widespread internet failures.

13. Third-party services

The Service may depend on, integrate with, or link to third-party services, including app stores, device operating systems, identity providers, cloud infrastructure, email providers, error-monitoring services, content-safety services, sports-data providers, and outside broadcasts.

Third-party terms and privacy practices may apply separately. Blipside does not control and is not responsible for third-party services, content, security, availability, or accuracy to the extent permitted by law. You are responsible for maintaining any separate subscription, broadcast access, device, or network service needed to use Blipside.

14. Account restriction, termination, and deletion

You may stop using the Service at any time. Blipside may restrict, suspend, or terminate access when reasonably necessary to enforce these Terms or the Blipside Voices Terms, comply with law, protect people or the Service, address safety, fraud, abuse, or security, or respond to prolonged inactivity or discontinuation of the Service.

Authenticated Listener account deletion is available through the Listener application's account settings. It is designed to delete that Listener account and its associated data without deleting a separate Blipside Voices account that uses the same email.

To request deletion of a Blipside Voices account, email privacy@blipside.app. Blipside may verify the account holder's identity and deliberate intent. Deletion will not proceed while a session on that account is starting or live, and Blipside will report whether deletion completed. Blipside responds to verified deletion requests within the time required by applicable law and may retain or delay deletion only as described in the Privacy Policy.

Deletion does not require Blipside to retain public access to your content. Some limited records may remain as described in the Privacy Policy, including information in ordinary backup cycles, pseudonymous deletion receipts, policy-acceptance evidence, security or safety records, and records required for legal claims or compliance. Deletion from one account role does not automatically delete the other role.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. BLIPSIDE DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

BLIPSIDE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR COMPATIBLE WITH EVERY DEVICE, NETWORK, OR OUTSIDE BROADCAST; THAT CONTENT OR DATA WILL REMAIN AVAILABLE; OR THAT A SAFETY CONTROL WILL PREVENT EVERY VIOLATION OR HARM.

Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, the disclaimers apply only to the extent permitted by law, and your non-waivable statutory rights remain unaffected.

16. Limitation of liability

Where Apple’s standard Licensed Application End User License Agreement applies to a claim, its limitation-of-liability provision controls to the extent of any conflict with this section. This section otherwise applies.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLIPSIDE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF BLIPSIDE AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• the amount you paid directly to Blipside for the Service during the 12 months before the event giving rise to the claim; or
• one hundred U.S. dollars (US $100).

The exclusions and cap do not apply to liability that cannot lawfully be excluded or limited. Applicable law may provide additional rights or remedies.

17. Indemnification by adult users

If you are at least 18 years old, you agree, to the extent permitted by law, to defend, indemnify, and hold harmless Blipside and its officers, directors, employees, affiliates, and agents from third-party claims, damages, judgments, losses, liabilities, costs, and reasonable attorneys' fees arising from:

• content you submit other than the Content covered by the Blipside Voices Terms;
• your unlawful or unauthorized use of the Service;
• your material violation of these Terms or the Community Guidelines; or
• your infringement or violation of another person's rights.

Blipside will provide reasonable notice of a covered claim and may control the defense and settlement. You will reasonably cooperate. Blipside will not settle a claim in a manner that admits your liability or imposes a nonmonetary obligation on you without your consent, not to be unreasonably withheld. This section does not apply to users under 18.

18. Informal dispute resolution; governing law and venue

Before filing most legal claims, you and Blipside agree to make a good-faith effort to resolve the dispute informally. A notice to Blipside must be sent to support@blipside.app with the subject Legal Notice and must identify any relevant account, describe the dispute, state the requested resolution, and include contact information. Blipside may send a notice to the email associated with your account. The receiving party will have 30 days to respond before either party files suit.

The informal process does not prevent either party from seeking immediate injunctive or equitable relief for misuse of intellectual property, unauthorized access, security threats, or imminent harm, or from filing an eligible claim in small-claims court. The informal process does not prevent either party from filing a claim when necessary to avoid expiration of an applicable legal filing deadline.

Except where applicable law requires otherwise, these Terms and disputes arising from them are governed by the laws of the State of Maryland, without regard to conflict-of-laws rules. Exclusive venue will lie in the state courts located in Baltimore County, Maryland, or the United States District Court for the District of Maryland. If you are a consumer, this section does not deprive you of non-waivable protections or forums provided by the law of your residence.

19. Changes to these Terms

Blipside may update these Terms. Each published version will have a new effective date and immutable version record. We will provide notice appropriate to the nature of the change.

If a change materially affects the rights or obligations of an account role, Blipside will require that affected role to affirmatively agree to the new version before resuming restricted account activity. A change that applies only to Blipside Voices accounts will not, by itself, require a separate Listener account to reaccept. Typographical, formatting, link, or other nonmaterial corrections may be published without renewed assent.

20. Miscellaneous

These Terms, the Community Guidelines, and any role-specific agreement that applies to you are the entire agreement between you and Blipside regarding the Service, except for a separate written agreement signed by authorized representatives.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. Section headings are for convenience only.

You may not assign these Terms or your account without Blipside's written consent. Blipside may assign these Terms in connection with a merger, reorganization, financing-related restructuring, or sale of Blipside or substantially all of the relevant business or assets, provided the successor assumes the applicable obligations.

These Terms do not create an employment, agency, partnership, fiduciary, or joint-venture relationship. Except as provided by Apple's applicable standard EULA or expressly stated otherwise, there are no third-party beneficiaries.

You consent to receive transactional and legal notices electronically at your account email or through the Service. You are responsible for keeping your email current.

You may not use the Service if you are prohibited from receiving U.S.-origin services or software under applicable export-control or sanctions laws.

Provisions that by their nature should survive termination will survive, including ownership, feedback, indemnification, disclaimers, liability limits, and dispute provisions. This does not expand the scope or duration of any content license or authorize additional retention of personal information.
